Terms & Conditions

These Terms & Conditions constitute a legally binding agreement between the User and BillingSutra governing the access to and use of the software platform, website, applications, and related services. By accessing or using BillingSutra, you agree to be bound by these Terms.

Important Notice: BillingSutra is a digital ERP / billing / SaaS platform intended for business use. By registering, subscribing, accessing, or using the platform, you confirm that you have read, understood, and accepted these Terms & Conditions in full.

1. Definitions

For the purpose of these Terms & Conditions, unless the context otherwise requires, the following expressions shall have the meanings assigned to them below.

  • “BillingSutra” means the ERP, billing, inventory, invoicing, reporting, and related software platform, including associated website, dashboard, applications, APIs, and support services provided by the Company.
  • “Company”, “We”, “Our”, and “Us” mean the owner, operator, developer, administrator, affiliates, employees, authorized representatives, licensors, and successors of BillingSutra.
  • “User”, “You”, “Client”, or “Subscriber” means any person, individual, firm, partnership, proprietorship, company, organization, association, or legal entity accessing, browsing, registering for, subscribing to, or using BillingSutra.
  • “Service” means any feature, module, tool, subscription, website functionality, application interface, support service, or digital access made available through BillingSutra.
  • “Subscription Plan” means the selected free, trial, promotional, monthly, yearly, enterprise, or custom commercial plan under which the User accesses BillingSutra.
  • “Confidential Information” means any non-public business, technical, operational, commercial, financial, customer, software, pricing, product, or internal process information shared between the parties.

These definitions apply equally whether the Service is used through a website, desktop software, mobile application, API integration, cloud access model, partner channel, or any related mode of delivery.

2. Acceptance of Terms

By registering, logging in, browsing, downloading, installing, subscribing to, purchasing, or using BillingSutra in any manner, you acknowledge and agree that you have read, understood, and accepted these Terms & Conditions. These Terms create a legally binding contract between you and the Company.

If you are using BillingSutra on behalf of a business, enterprise, institution, organization, or any legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms. In such case, the term “User” shall include both the individual acting and the legal entity represented by such individual.

If you do not agree with any provision of these Terms, you must not access or use the Service. Continued usage of BillingSutra after any update, revision, or modification to these Terms shall constitute your acceptance of the revised version to the extent permitted by law.

3. Eligibility

To use BillingSutra, you must be at least 18 years of age and capable of entering into a legally enforceable contract under applicable law. By accessing or using the Service, you represent and warrant that you satisfy these eligibility requirements.

If you are using the Service on behalf of a business entity, you confirm that:

  • You possess sufficient authority to bind that business entity legally.
  • The information submitted by you on behalf of the entity is true, complete, and authorized.
  • The entity accepts responsibility for all use of the Service conducted under the account.

We reserve the right to refuse access, suspend onboarding, or terminate access if we reasonably believe that a User is ineligible, unauthorized, or has misrepresented identity, authority, or legal capacity.

4. Account Registration & Responsibilities

Certain features of BillingSutra require registration of an account. When registering, you agree to provide accurate, current, complete, and updated information. You are responsible for ensuring that all information submitted during registration, business setup, profile creation, and billing configuration remains correct and current.

  • You are solely responsible for maintaining the confidentiality of your login credentials, access codes, recovery details, and account-level permissions.
  • You agree not to share account credentials in an unauthorized manner or permit unauthorized persons to access your account.
  • Any action, transaction, invoice creation, subscription change, data entry, export, or activity performed under your account shall be deemed to have been performed by you or under your authority.
  • The Company shall not be liable for unauthorized access caused by negligence, weak password management, device compromise, staff misuse, or credential sharing by the User.

You must promptly notify us if you suspect any unauthorized access, credential theft, account breach, misuse, or security incident affecting your BillingSutra account. We reserve the right to suspend access temporarily for security review where suspicious activities are detected.

5. Subscription, Fees & Payment

BillingSutra may offer free plans, paid plans, promotional access, enterprise subscriptions, custom commercial arrangements, and feature-based pricing. Certain modules, advanced tools, cloud services, integrations, backups, user slots, businesses, reports, or premium workflows may only be available upon payment under a selected Subscription Plan.

Unless otherwise agreed in writing:

  • All fees are payable in advance.
  • Subscription fees are non-refundable except where expressly stated in a separate Refund Policy or where required by applicable law.
  • Renewals may occur automatically if auto-renewal is enabled or accepted at checkout.
  • Failure to pay applicable subscription fees may lead to suspension, downgrade, feature restriction, or termination of service.
  • Taxes, GST, transaction charges, bank charges, and statutory levies are the responsibility of the User unless expressly stated otherwise.

We reserve the right to revise pricing, modify plans, discontinue packages, reclassify feature bundles, or change usage limits at any time. Any revised pricing shall ordinarily apply prospectively and shall not affect an already paid active subscription period unless specifically stated.

Billing Note: Users are responsible for reviewing final pricing, plan limits, billing cycle, and auto-renewal settings before completing payment.

6. Acceptable Use Policy

You agree to use BillingSutra only for lawful, legitimate, and authorized business purposes. You shall not misuse the Service, disrupt its integrity, violate applicable law, or compromise the security or rights of the Company or other users.

You expressly agree not to:

  • Use the Service for unlawful, fraudulent, deceptive, harmful, or abusive purposes.
  • Attempt unauthorized access to systems, servers, databases, APIs, accounts, or internal features.
  • Reverse engineer, decompile, disassemble, replicate, scrape, clone, or attempt to derive source code from any part of the Service except to the extent expressly permitted by law.
  • Upload malicious code, ransomware, viruses, trojans, spyware, scripts, worms, or harmful software.
  • Infringe trademarks, copyrights, patents, trade secrets, database rights, or any intellectual property rights of the Company or third parties.
  • Use bots, automated scripts, mass crawlers, or bulk automation without express written permission.
  • Transmit defamatory, obscene, illegal, misleading, or harmful material using the Service.

Any violation of this Acceptable Use Policy may result in immediate suspension, investigation, restriction, or termination of access without refund and without prejudice to any additional legal remedies available to the Company.

7. Data Security & Privacy

We implement commercially reasonable administrative, technical, and organizational measures to protect BillingSutra and its operational systems. However, the User acknowledges that no internet-based platform, cloud system, software product, transmission channel, or storage infrastructure is completely secure or immune to cyber risk.

By using BillingSutra, you understand and agree that:

  • Internet transmissions and online systems may be vulnerable to interruptions, delays, unauthorized attempts, third-party attacks, or failures beyond our direct control.
  • We do not guarantee absolute security, uninterrupted uptime, or complete immunity from cyber events.
  • We are not liable for data loss, access disruption, or operational damage resulting from force majeure, cyber attack, payment gateway issues, user negligence, weak password practices, compromised user devices, or misuse by the User’s staff.
  • You are responsible for protecting your own devices, networks, and internal access practices.

Use of personal or business data within BillingSutra is also subject to our Privacy Policy, which should be read together with these Terms.

8. Intellectual Property Rights

All rights, title, and interest in and to BillingSutra, including but not limited to the software architecture, source code, object code, designs, interfaces, workflows, dashboards, templates, logo, trademarks, branding, APIs, user interface elements, documentation, databases, structure, arrangement, content, and proprietary know-how, shall remain the exclusive property of the Company and/or its licensors.

  • The User is granted only a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use BillingSutra for legitimate business purposes in accordance with the active Subscription Plan.
  • No ownership rights are transferred to the User by virtue of subscription, login, installation, or payment.
  • Copying, modifying, reproducing, republishing, distributing, reselling, white-labeling, sublicensing, commercially exploiting, or redistributing any part of the Service without prior written permission is strictly prohibited.

Unauthorized use of the Company’s intellectual property may result in immediate service termination and legal action, including claims for damages and injunctive relief.

9. Confidentiality

Both parties acknowledge that during the course of using or providing the Service, confidential and proprietary information may be disclosed or made available. Each party agrees to maintain the confidentiality of such information and not disclose it to any third party except as necessary for lawful business purposes, regulatory compliance, or where disclosure is required by law.

The User agrees that any software logic, pricing structure, internal process, roadmap, integration method, support communications, or technical architecture shared by the Company may constitute Confidential Information. Similarly, the Company shall use reasonable care in handling business-sensitive information provided by the User while delivering the Service.

Confidentiality obligations shall not apply to information that is publicly available without breach, lawfully received from another source without duty of confidentiality, independently developed, or required to be disclosed by law, court order, or lawful authority.

10. User Data, Content & Backups

The User may input, upload, generate, store, export, or process data through BillingSutra, including customer details, invoices, products, ledgers, reports, tax information, inventory records, communication logs, business content, and other operational data. Subject to applicable law and these Terms, the User retains ownership over such business data provided by the User.

However, you acknowledge and agree that:

  • You are solely responsible for the legality, accuracy, quality, integrity, reliability, and authorization of all data uploaded or generated through your use of BillingSutra.
  • You must maintain independent backups of critical business data unless the applicable plan expressly includes managed backup functionality.
  • We shall not be liable for data loss, incomplete records, corruption, accidental deletion, staff misuse, import errors, or losses caused by external systems or user-side actions.
  • We may use aggregated, anonymized, and non-personally identifiable usage insights to improve the Service, analytics, product performance, and platform reliability.

11. Third-Party Services & Integrations

BillingSutra may allow or support integrations, plugins, APIs, payment gateways, storage services, SMS providers, email providers, cloud backup providers, communication tools, analytics tools, or other third-party services. Such services are controlled by independent third parties and may have their own terms, privacy policies, charges, uptime limitations, and security practices.

We do not control and do not assume responsibility for the performance, availability, security, legality, content, or actions of third-party services. Your use of any third-party integration is solely at your own risk and may require separate acceptance of those third-party terms.

  • Third-party service failure does not automatically create a right to refund or compensation from us.
  • Additional costs imposed by third-party providers are the responsibility of the User.
  • We may enable, disable, change, or discontinue integration support where necessary.

12. Service Availability, Maintenance & Updates

We aim to keep BillingSutra available and operational; however, uninterrupted access is not guaranteed. The Service may be temporarily unavailable due to planned maintenance, upgrades, security patching, server migration, infrastructure changes, software bugs, force majeure events, third-party dependency issues, internet failures, or other circumstances beyond our reasonable control.

We reserve the right to update, enhance, redesign, modify, suspend, or discontinue any feature, workflow, integration, user interface element, plan structure, or module of the Service at any time. Such changes may be necessary for legal compliance, security, operational improvement, product evolution, or commercial reasons.

Temporary downtime or minor software issues shall not automatically constitute breach of these Terms, provided we act in good faith to maintain and improve the Service.

13. Disclaimer of Warranties & Limitation of Liability

BillingSutra is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, or suitability for a specific business outcome.

In no event shall the Company, its owners, affiliates, officers, directors, developers, employees, contractors, licensors, or partners be liable for:

  • Indirect, incidental, consequential, exemplary, or punitive damages
  • Loss of revenue, business, profit, contracts, data, reputation, or goodwill
  • Business interruption, delayed operations, or missed commercial opportunities
  • Losses arising from third-party failures, cyber incidents, user negligence, or internet issues

To the maximum extent permitted by law, the total aggregate liability of the Company for any claim arising out of or relating to the Service or these Terms shall not exceed the amount actually paid by the User to the Company for the Service during the preceding three (3) months immediately before the event giving rise to the claim.

Liability Cap: Our maximum liability is limited to the amount paid by you for BillingSutra during the 3 months immediately preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its owners, affiliates, officers, employees, licensors, and representatives from and against any and all claims, liabilities, losses, damages, penalties, costs, expenses, and legal fees arising out of or related to:

  • Your misuse, abuse, or unauthorized use of the Service
  • Your violation of these Terms or any incorporated policy
  • Your breach of any law, regulation, or third-party rights
  • Your data, content, invoices, records, or communications entered into BillingSutra
  • Your use of third-party services or integrations in connection with the platform

This indemnification obligation shall survive suspension, termination, expiry, or discontinuation of your use of the Service.

15. Suspension & Termination

The User may discontinue use of the Service or terminate a subscription at any time in accordance with applicable billing rules. However, the Company reserves the right to suspend, restrict, deactivate, or terminate any account immediately, with or without prior notice, where it reasonably believes that:

  • The User has violated these Terms or any applicable policy
  • There is non-payment of fees or a payment dispute
  • The account is being used for unlawful, harmful, fraudulent, or abusive purposes
  • The Service is being used in a way that threatens platform stability, security, or other users
  • Legal, regulatory, or compliance reasons require such action

Upon termination, access to the Service may be revoked immediately. Access to User data may be restricted, limited, or deleted after a reasonable retention window, which may be up to 30 days or such other period as applicable to the plan or law. We recommend exporting important data before cancellation or termination.

16. Force Majeure

The Company shall not be liable for any delay, disruption, outage, failure, or inability to perform its obligations under these Terms where such failure results from causes beyond reasonable control. Such events include, without limitation, natural disasters, floods, fires, earthquakes, war, civil unrest, terrorism, labor disputes, power failures, government restrictions, sanctions, internet disruptions, hosting failures, cyber attacks, malware incidents, telecommunications breakdown, or third-party infrastructure collapse.

During the existence of a force majeure event, the Company’s obligations shall be suspended to the extent affected by such event, without liability for resulting delay or interruption.

17. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to BillingSutra, these Terms, subscriptions, billing, access, data, or performance of the Service shall be subject to the exclusive jurisdiction of the competent courts located in Ambikapur, Chhattisgarh, India.

By using BillingSutra, the User expressly consents to such jurisdiction and venue.

18. Amendments

The Company reserves the right to modify, amend, replace, or update these Terms at any time. Updated versions shall be posted on this page with a revised “Last Updated” date. Unless otherwise required by law, such modifications become effective upon publication.

It is the User’s responsibility to review these Terms periodically. Continued use of BillingSutra after any update shall constitute acceptance of the revised Terms.

19. Entire Agreement

These Terms & Conditions, together with the Privacy Policy, Refund Policy, and any additional legally incorporated documents, constitute the entire agreement between the User and the Company regarding the use of BillingSutra. They supersede all prior discussions, oral representations, negotiations, understandings, drafts, or agreements relating to the same subject matter.

If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.
